CONSTITUTION AND BY-LAWS OF THE AMERICAN MAHARLIKA KUNTAW ASSOCIATION
(Established March 14, 1974)
KNOW ALL MEN BY THESE PRESENTS;
Conscious of the need of developing enthusiasm and dedication in the field of Filipino Martial Arts Education, and in order to act as a guardian of the noble and beneficial aims of Kuntaw and compelled by our desire to establish an association which shall be non-partisan, non-sectarian, non-profit, non-stock and non-discriminatory as well as a rallying point for all Filipino Martial artists, we hereby mutually agree to unite and associate ourselves for such purposes and hereby adopt this Constitution and By-Laws of the American Maharlika Kuntaw Association.
And we hereby certify-
ARTICLE I-NAME, LOGO, AND OFFICIAL LANGUAGE
SECTION 1. : That the name of the said organization shall be: American Maharlika Kuntaw Association (with the initials AMKA).
SECTION 2. : The official logo will be the Philippine Sun with the Chinese yin and yang in its center, surrounded by a red circle and then a blue circle.
SECTION 3. :The official language of the association shall be English in all correspondences and in notifications, except for the titles of individuals.
SECTION 4. : All forms and records of the association shall be written in English Language with Filipino Translation whenever possible.
SECTION 5. : That for international chapters all documents can be translated into the proper language of that country.
ARTICLE II- PURPOSE AND OBJECTIVE
SECTION 1 : The association was formed due to the lack of any existing Filipino based Martial Arts organizations in the United States. The PKA and PMKA were unresponsive, so to continue the path that was set and the charge to spread the art that was given, the AMKA was born. March 14, 1974
SECTION 2. : The association was formed to propagate and promote the Filipino martial arts via demonstrations, Tournaments, seminars, and by the establishing independent schools.
SECTION 3, : : To promote and foster interest in the Filipino Martial Arts (Kuntaw, Escrima, Arnis, Silat, Sikaran, Dumog, Buno etc) through demonstrations, seminars, ongoing classes, and by other means. Also to emphasize the cultural heritage from which these arts evolved.
The association was formed to support and to share with other like minded organizations to further promote Filipino martial arts.
SECTION 4. : To help support the members of the association with their growth as Martial Artists and as individuals.
SECTION 5. : To co operate whenever possible, with other martial arts groups in promoting martial arts in general as a way of life. A recreational activity, and a means of self defense.
SECTION 6. : To provide a central means of authority to teach promote and regulate the Kuntaw style of Filipino Martial art.
ARTICLE III – DOMICILE
SECTION 1. : The Main headquarters of the AMKA shall be 6403 Cedar Run Rd. Traverse City, Michigan, 49684, USA 231- 929-3795,- FAX 1 949 666- 7368
SECTION 2 : Other locations shall be the Chapter domiciles in each region/ country as listed in the Tambuli newsletter...
SECTION 3. : The official domicile of the association will be in the United States, foreign country branches may be established to achieve better administration of the organization as the need arises.
ARTICLE IV- ORGANIZATION AND GOVERNMENT
SECTION 1. : The Board of Directors, also known as “the Council”, shall serve as the legislative body of the Association, and shall have the ultimate responsibility for all matters and business of the AMKA. Its powers and authority should include, but not be limited to:
(a) Determination and acceptance of membership in the Association, and the fees,
procedures, and regulations relating thereto;
(b) Amendment or change to the Constitution or Bylaws of the Association;
(c) Ratification of the annual budget of the Association;
(d) Implementation and enforcement of these Bylaws;
(e) Creation and regulation of any and all Committees in the Association;
(f) Ratification of the Chairman and Vice Chairman of any committee;
(g) Ratification of any actions taken by the Board of Directors at the annual or semi-annual meeting;
(h) Create sub-committees to further the concept of good traditional sport martial arts. and community service as to the guidelines set forth in Article IVl lue e e of this document.
SECTION 2. : EXECUTIVE OFFICIALS. The governing body of the AMKA ( Board of Directors)shall be comprised of an executive director, elected officials, and appointed officials.

SECTION 3. : CHAPTER OFFICIALS

SECTION 4. : Elective positions shall be elected from the representatives of the various active members of the organization.
SECTION 5. : Appointive positions shall be from the active general membership of the organization.
SECTION 6. : COMMITTEES- The committees of the Association shall be but not limited to: the Student’s Committee, Instructor Committee, Testing Board, Technical Committee, Finance Committee, Registration Committee and Development Committee
SECTION 7. . The President shall submit the names of proposed chairpersons and vice-chairs for the standing committees to the Board of Directors for ratification by a simple majority vote. In the event a proposed chairperson is rejected, the President shall continue to submit names until ratification is accomplished. Except as otherwise provided in this Constitution and By-laws, the President, in concert with the Board of Directors and with the advice of the respective Chairperson, shall appoint all members to the standing committees and to such special committees as he/she deems necessary or as directed by the Board of Directors.
(a) The Chairperson will appoint a recording secretary who is responsible for the taking, composing and promulgation of all minutes, actions, etc., of said committee.
(b) Removal from committees. Any member may be removed by the same appointing authority for just cause. The President and Secretary of the Association shall be officially notified. Vacancies will be appointed by the same authority.
Compensation.
(a) Each standing committee chairperson shall prepare an annual committee budget and submit it to the Treasurer 45 days prior to the annual meeting.
(b) Estimated cost for annual and committee meetings must be included in the committee budget.
Student’s Committee. The Student’s committee shall be composed of students currently active in competition within the last 2 years. The Council shall be constituted to represent the diverse membership of the athletes of the Association. The Council shall report to the Board of Directors on issues relating to athlete participation within the Association and at sanctioned events.
Coaches Committee. The Instructor Committee shall schedule and organize Instructor training camps approved by the Board of Directors. They shall also be responsible for the issuance of Instructor Permits.
Technical Committee. The Technical Committee shall be responsible to insure that the standards of performance of technical aspects of karate within this Association are consistent with the standards which are, or may be established, by or for the AMKA The committee shall develop and implement standards for technical proficiency and recognition of technical Kuntaw expertise by members of this Association.
Registration Committee. The Registration Committee shall have jurisdiction over all matters pertaining to sanctions, registration and (re)certification of Clubs and Instructors, and other duties as may be assigned by the Board of Directors.
Finance Committee. The finance committee shall consist of three individuals: the Treasurer who shall serve as Chairperson, one member appointed by the Treasurer, and one member selected by the Board of Directors. This committee shall be responsible for internally reviewing the Association's financial transactions and comparing expenditures as they relate to budgeted funds on a semi-annual basis. It shall review the proposed annual budget, making its recommendations to the board of directors. Its findings shall be an integral part of the Treasurer's report.
ARTICLE V- DUTIES AND FUNCTIONS OF OFFICIALS
SECTION 1. : EXECUTIVE DIRECTOR
The executive director is the highest ranked member of the organization. He oversees to operation and the following of the constitution. This is a non elective position. The duties of the executive director are to insure the tenants and ideology of the art continues. This rank is Maha Guro - 8th degree Black Belt. His is the last vote cast during voting. His tenure is for life or he can voluntarily relinquish his position at anytime and will name his successor. In case of death and no successor named, the member with the highest rank and tenure may claim the position. If that person denies the position it shall fall to the next person of rank.
SECTION 2. : PRESIDENT- The President shall preside at all meetings of the Board of Directors, be an ex-officio member of all committees and exercise all the duties normally ascribed to that office.
VICE PRESIDENT- the event that the President is unable to serve, the corporation Vice President shall act on behalf of the President until the President is able to serve or until a successor is duly elected.
SECRETARY- Secretary shall keep the records of the Association, supervise the taking of minutes, attend to the publication of official reports, attest documents and perform such other functions as usually pertains to such office. The Secretary shall discharge such other duties as may be assigned by the Board of Directors.
TREASURER- The Treasurer shall be the chief financial officer of the Association. The Treasurer shall serve as chairperson of the Finance Committee and perform the duties normally ascribed to that office or as directed by the board of Directors.
AUDITOR- The Treasurer shall yearly check the financial statements of all Charter member clubs. The Auditor shall serve on the Finance Committee and perform the duties normally ascribed to that office or as directed by the board of Directors.
TECHNICAL ADVISOR- The Technical Advisor shall insure that all instructors of the AMKA follow set standards for conducting their classes and follow set curriculum set forth by the Board of Directors.
TOURNAMENT DIRECTOR- The Tournament Director shall insure that all AMKA sponsored tournaments follow the guidelines set forth in the AMKA By-Laws. He shall also maintain an adequate supply of tournament related equipment and supplies for use by the various chapters. ( stop watches, flags, score cards, tournament registration/division forms)
REGIONAL DIRECTORS- Regional directors shall act as agents for the purpose of co coordinating events, seminars, training, and other activities in their area or region. To avoid conflicts in scheduling and having events scheduled at the same time.
SECTION 8. In the case of a resignation, the vacant position shall be filled by appointment by the executive until the next scheduled general meeting. The exception is the presidency which is automatically filled by the VP. All appointments are valid only for the interim and must be filled by election at a general meeting
MEETINGS
SECTION 1. Notification
A)It is the responsibility of the Secretary to insure that all members are notified one month prior to a general or special meeting.
SECTION 2. Annual General Meeting shall be held the second Saturday in January and June of each year.
A) AGM meetings are open to all members.
SECTION 3. Executive Meetings can be called by the Council at anytime and are open to any active member. Notice of Executive meetings shall be made at least 7 days in advance.
SECTION 4. Order of Business- The order of business at all meetings shall be as follows
A) Roll Call\Call to order
B) Statement of Meeting
C) Reading of Minutes from last meeting
D) Old Business
E) Business at hand
F) Adjurn
ARTICLE VI-ELECTIONS
Rules meetings of the Association, its boards, committees and other
subdivisions shall be governed by the latest edition of Robert’s Rules of Order.
SECTION 1. Elections shall be held every two (2) years at the scheduled June meeting.
SECTION 2.All active members have voting/ nominating power.
SECTION 3. All Charter Members have voting/ nominating power.
SECTION 4. All voting shall be done by ballot
SECTION 5. 2/3 majority of the vote to pass any amendment, bill, or standing measure.
SECTION 6. Nominations for an executive position require one nominator and a secondary. The nominee may decline the nomination. Nominations may be by email, phone, or by video before the meeting and presented at the AGM. If the nominee is not present and he/she cannot be reached or has not given prior consent, the nomination is automatically withdrawn. Nominations may be made from the floor..
SECTION &. Meetings maybe held via electronic conferencing means provided it is recorded for member viewing. If not recorded, the results of said meeting is null and void.
ARTICLE VII – MEMBERSHIP
SECTION 1. : Membership to the AMKA shall be classified as follows
A) Regular
B) Charter
C) Affiliate
SECTION 2. : Regular members are active members from any chapter who are current with their membership fees. Each member has full access to all of the resources of the AMKA. All regular members have full voting rights.
SECTION 3. : REQUIREMENTS FOR REGULAR MEMBERSHIP
A)Each Charter Member Club has access to all the purchasing power of the AMKA and has access to the written, video, and, recorded media available for training.
B)A member or organization is one that subscribes to the basic principles of the AMKA but resides in a different state or country..
C)This membership is one where the individual or club can rely on the AMKA for sponsorship and underwriting their programs and curriculum. They subscribe to the AMKA tenants, rules, and policies and have full membership rights within the guidelines of the AMKA sponsorship.
D)Charter Organizations are permitted to use the Logo of the AMKA in publications, on signage, and in other displayable means. The AMKA patch will be used as the left chest patch on Charter Organization uniforms.
E) Adapting to the AMKA By Laws shall take no more than two years to incorporate to new charter organizations. Existing uniforms and programs can continue until such time as the Charter organization fully accepts the AMKA constitution and By Laws.
SECTION 5. : A formal application shall be filed and submitted to the membership committee for a charter membership. Each club must have a minimum of ten (10) regular members.
SECTION 6. : An Affiliate member or organization can be:
A).Any club that promotes Filipino Martial Arts as its main program, subscribes to the basic principles of the AMKA but wishes to remain autonomous.
B)This membership is one where the individual or club can rely on the AMKA for sponsorship and underwriting their programs and curriculum. There are many forms of Filipino martial arts with their own standards and goals. Being an Affiliate member is just asking for recognition of their attempts to promote their chosen art within the guidelines of the AMKA sponsorship.
C)Affiliates are not allowed to use the AMKA logo for any purpose except for underwriting. The AMKA title may not be used in the name of the Affiliate club title. The AMKA patch can be used as a secondary emblem on uniforms.
D)Affiliate members have no vote in the association.
E)Affiliates are not bound by the uniform code of the AMKA except in the display of patches and of excessive signage on uniforms. The color of the uniform for each affiliate is up to the individual club. Requirements for advancements and for promotion as are up to the individual affiliates.
F)Affiliates may charge their own fees and charges for their own operation but will maintain their associated fees to the AMKA
ARTICLE X-DISCIPLINARY PROCEDURES
A): Should the Senior Assembly receive complaint about the conduct of a member of the AMKA, or have reason to call the conduct of a member into question, a disciplinary subcommittee shall be formed from two members of the Senior Assembly to investigate the complaint.
B): A member of the disciplinary subcommittee shall visit the person under complaint and inform him or her of the nature of the complaint, and arrange a date for disciplinary hearing.
C): The person under complaint shall have the option to be represented, appear in person (with or without a representative), or submit a written explanation to the disciplinary subcommittee.
D): The disciplinary subcommittee shall review all evidence and recommend a course of action. A copy of their report shall be sent to the person under investigation, who has the right to appeal to the Council within twenty eight days.
E): The Council shall decide on an appropriate course of action based on the report of the disciplinary subcommittee and the member's appeal (if any). Written notification of their decision shall be sent to the person under investigation.
F): Penalties available to the Senior Assembly include suspension, censure or expulsion.
G): Any member convicted of a crime of violence must inform an Officer of the Association within twenty one days of the said conviction for consideration by the Council. Failure to do so will result in automatic expulsion from the Association.
ARTICLE VIIII DISSOLUTION
This association may only be dissolved by a majority vote of the Board of Directors. The Board must adopt a resolution recommending that the association be dissolved and direct the Executive Officers to send the State of Michigan and the Securities and Exchange Commission of the Philippines the resolution of dissolution, the articles of Incorporation, the date the resolution went into effect, and an accounting of all properties and monies of the corporation. All asset owned by the AMKA would be donated to another non-profit agency, upon dissolution.
By-Laws
Article VIII- Ranking
SECTION : Underbelt rank can only be awarded a testing board of at least 2 certified instructors.
SECTION : Black Belt rank can only be awarded by a testing board of at least 3 certified instructors of higher rank than that being tested for.
SECTION : Guest Instructors may sit in on any belt test and their input shall be considered but not crucial to the outcome of the test being given. We want others to know what we consider to be important for the members of our organization to know for their advancement and recognition.
SECTION : Students coming from other arts to train in Kuntaw shall retain their awarded rank but considered as junior grade. In order for them to advance in Kuntaw they have to earn their rank in Kuntaw. Example; a green belt in Tae Kwon Do joins the organization, he is considered a first degree green belt and can wear that belt on a proper Kuntaw uniform. He has to compete in green belt divisions in tournaments but cannot advance higher until he has earned green belt in Kuntaw.
SECTION : There is no time limit on testing. Once a student has completed their passbook for a given rank they may test for that rank provided they have met the requirement for the ranks under the belt testing for.

ETIQUETTE
A)In the school, all members will refer to each other as brothers or sisters or by title sir or mam. B)All senior grades of
D)Members will wear the traditional AMKA uniform, which consists of an all Black short sleeve uniform with red bands on mid arm, a belt appropriate to their grade and may wear a solitary Association badge on the left breast and a club badge on left shoulder. The uniform should be clean and fit properly.
D)In response to Child Protection guidelines, suitable underwear should be worn at all times under gi bottoms for purposes of hygiene, safety and decorum. Females may wear a plain black T-shirt under their uniform.
E)Footwear is not permitted without the prior permission of the senior grade. The only exceptions are outdoor courses, where the Course Director will indicate the appropriate attire.
F)Members must ensure that their hands and feet are clean, and that toe and finger nails are cut sensibly.
G) Jewelry is forbidden during training. If it is not possible to remove particular items then they should be taped to render them harmless to training partners.
AMKA Emblem- established in 1974 this emblem signifies the art and the theory that makes the art what it is.
Club Emblems: Each club or chapter may have their own emblem that shows their identity. These emblems shall be submitted to the Board of directors with an explanation of the emblem for approval and for recording.. These emblems shall not exceed 4 inches in Diameter. These emblems must be worn on the left shoulder only
GRADINGS
All persons taking a grading examination must hold a current membership issued by the AMKA.
It is the student's obligation to ensure that their membership is current prior to the grading as no memberships will be issued on the day of the grading examination.
All students wishing to test for rank must complete their rank PASSBOOK for tested rank and turn this book in for testing scheduling.
PASSBOOKS for all ranks are $10
Testing/Certificate Fees are $30 ( this covers Belt and Certificate costs)No refunds if test is failed.
Grading examinations will only be held individually grading by Official Kuntaw Examiners.
Any student unable to grade due to illness or injury may grade with a panel of (at least) three examiners within two weeks of the normal grading examination with the approval of the Chief Examiner.
Members who are not able to do a complete grading in one session may be graded at their own club in "sections" prior to the grading, but will have to attend the grading to be formally passed and receive their certificate. However, students should be encouraged to take a full grading examination at a group grading if it is feasible to do so.
Gradings are held approximately every three months.
Members are required to take formal grading examinations up to and including Lakan Guro
Students will be graded by a panel of three Official Examiners. If more than three Official Examiners sit on a panel, then there must be an odd number of Official Examiners to avoid tied decisions in marginal cases.
All members awarded a Guro grade must fulfil the following criteria .
Instruct classes on a regular basis at least 2 times a month
Attend and compete in AMKA sanctioned scheduled tournaments
Maintain an active email address...
All members awarded a senior grade must also fulfil the following attendance requirements at the monthly Senior Grade training sessions ...
The requirements for Official Examiner status are ...
Higher grade awards are not automatic promotions, the merits and contributions of each Guro being considered individually by the Senior Awards Panel. The Senior Awards Panel will consist of the three most senior grades in the Association, and will (usually) consist of the Chief Instructor, Senior instructor and Chief Examiner. The Senior Awards Panel will meet at least once a year to consider possible candidates for promotion.
In all matters relating to the conduct of grading examinations the Chief Examiner's decision is final.
BY-LAWS
14: OTHER
No person under the age of eighteen shall open or run a Kuntaw club.
All club instructors and assistant instructors should have Instructors Indemnity Insurance and an Enhanced Criminal Records Bureau disclosure.
All Guro grades are expected to maintain and improve their own standards.
All grades should be aware that they are representatives of American Maharlika Kuntaw Association when visiting other schools, attending competitions or taking part in some public activity, and should act accordingly

SECTION 3. : CHAPTER OFFICIALS
- Each chapter is responsible to elect officers to represent them with the Main Head Quarters. These officials are required to have Email addresses and able to communicate with the main Head Quarters regularly. This group of individuals shall be known as the council or the board of directors.
- Charter Organizations shall provide a representative to the AMKA. If no representative is elected, one will be appointed until such time as an election can be held in that Charter.

SECTION 4. : Elective positions shall be elected from the representatives of the various active members of the organization.
SECTION 5. : Appointive positions shall be from the active general membership of the organization.
SECTION 6. : COMMITTEES- The committees of the Association shall be but not limited to: the Student’s Committee, Instructor Committee, Testing Board, Technical Committee, Finance Committee, Registration Committee and Development Committee
SECTION 7. . The President shall submit the names of proposed chairpersons and vice-chairs for the standing committees to the Board of Directors for ratification by a simple majority vote. In the event a proposed chairperson is rejected, the President shall continue to submit names until ratification is accomplished. Except as otherwise provided in this Constitution and By-laws, the President, in concert with the Board of Directors and with the advice of the respective Chairperson, shall appoint all members to the standing committees and to such special committees as he/she deems necessary or as directed by the Board of Directors.
(a) The Chairperson will appoint a recording secretary who is responsible for the taking, composing and promulgation of all minutes, actions, etc., of said committee.
(b) Removal from committees. Any member may be removed by the same appointing authority for just cause. The President and Secretary of the Association shall be officially notified. Vacancies will be appointed by the same authority.
Compensation.
(a) Each standing committee chairperson shall prepare an annual committee budget and submit it to the Treasurer 45 days prior to the annual meeting.
(b) Estimated cost for annual and committee meetings must be included in the committee budget.
Student’s Committee. The Student’s committee shall be composed of students currently active in competition within the last 2 years. The Council shall be constituted to represent the diverse membership of the athletes of the Association. The Council shall report to the Board of Directors on issues relating to athlete participation within the Association and at sanctioned events.
Coaches Committee. The Instructor Committee shall schedule and organize Instructor training camps approved by the Board of Directors. They shall also be responsible for the issuance of Instructor Permits.
Technical Committee. The Technical Committee shall be responsible to insure that the standards of performance of technical aspects of karate within this Association are consistent with the standards which are, or may be established, by or for the AMKA The committee shall develop and implement standards for technical proficiency and recognition of technical Kuntaw expertise by members of this Association.
Registration Committee. The Registration Committee shall have jurisdiction over all matters pertaining to sanctions, registration and (re)certification of Clubs and Instructors, and other duties as may be assigned by the Board of Directors.
Finance Committee. The finance committee shall consist of three individuals: the Treasurer who shall serve as Chairperson, one member appointed by the Treasurer, and one member selected by the Board of Directors. This committee shall be responsible for internally reviewing the Association's financial transactions and comparing expenditures as they relate to budgeted funds on a semi-annual basis. It shall review the proposed annual budget, making its recommendations to the board of directors. Its findings shall be an integral part of the Treasurer's report.
ARTICLE V- DUTIES AND FUNCTIONS OF OFFICIALS
SECTION 1. : EXECUTIVE DIRECTOR
The executive director is the highest ranked member of the organization. He oversees to operation and the following of the constitution. This is a non elective position. The duties of the executive director are to insure the tenants and ideology of the art continues. This rank is Maha Guro - 8th degree Black Belt. His is the last vote cast during voting. His tenure is for life or he can voluntarily relinquish his position at anytime and will name his successor. In case of death and no successor named, the member with the highest rank and tenure may claim the position. If that person denies the position it shall fall to the next person of rank.
SECTION 2. : PRESIDENT- The President shall preside at all meetings of the Board of Directors, be an ex-officio member of all committees and exercise all the duties normally ascribed to that office.
VICE PRESIDENT- the event that the President is unable to serve, the corporation Vice President shall act on behalf of the President until the President is able to serve or until a successor is duly elected.
SECRETARY- Secretary shall keep the records of the Association, supervise the taking of minutes, attend to the publication of official reports, attest documents and perform such other functions as usually pertains to such office. The Secretary shall discharge such other duties as may be assigned by the Board of Directors.
TREASURER- The Treasurer shall be the chief financial officer of the Association. The Treasurer shall serve as chairperson of the Finance Committee and perform the duties normally ascribed to that office or as directed by the board of Directors.
AUDITOR- The Treasurer shall yearly check the financial statements of all Charter member clubs. The Auditor shall serve on the Finance Committee and perform the duties normally ascribed to that office or as directed by the board of Directors.
TECHNICAL ADVISOR- The Technical Advisor shall insure that all instructors of the AMKA follow set standards for conducting their classes and follow set curriculum set forth by the Board of Directors.
TOURNAMENT DIRECTOR- The Tournament Director shall insure that all AMKA sponsored tournaments follow the guidelines set forth in the AMKA By-Laws. He shall also maintain an adequate supply of tournament related equipment and supplies for use by the various chapters. ( stop watches, flags, score cards, tournament registration/division forms)
REGIONAL DIRECTORS- Regional directors shall act as agents for the purpose of co coordinating events, seminars, training, and other activities in their area or region. To avoid conflicts in scheduling and having events scheduled at the same time.
SECTION 8. In the case of a resignation, the vacant position shall be filled by appointment by the executive until the next scheduled general meeting. The exception is the presidency which is automatically filled by the VP. All appointments are valid only for the interim and must be filled by election at a general meeting
MEETINGS
SECTION 1. Notification
A)It is the responsibility of the Secretary to insure that all members are notified one month prior to a general or special meeting.
SECTION 2. Annual General Meeting shall be held the second Saturday in January and June of each year.
A) AGM meetings are open to all members.
SECTION 3. Executive Meetings can be called by the Council at anytime and are open to any active member. Notice of Executive meetings shall be made at least 7 days in advance.
SECTION 4. Order of Business- The order of business at all meetings shall be as follows
A) Roll Call\Call to order
B) Statement of Meeting
C) Reading of Minutes from last meeting
D) Old Business
E) Business at hand
F) Adjurn
ARTICLE VI-ELECTIONS
Rules meetings of the Association, its boards, committees and other
subdivisions shall be governed by the latest edition of Robert’s Rules of Order.
SECTION 1. Elections shall be held every two (2) years at the scheduled June meeting.
SECTION 2.All active members have voting/ nominating power.
SECTION 3. All Charter Members have voting/ nominating power.
SECTION 4. All voting shall be done by ballot
SECTION 5. 2/3 majority of the vote to pass any amendment, bill, or standing measure.
SECTION 6. Nominations for an executive position require one nominator and a secondary. The nominee may decline the nomination. Nominations may be by email, phone, or by video before the meeting and presented at the AGM. If the nominee is not present and he/she cannot be reached or has not given prior consent, the nomination is automatically withdrawn. Nominations may be made from the floor..
SECTION &. Meetings maybe held via electronic conferencing means provided it is recorded for member viewing. If not recorded, the results of said meeting is null and void.
ARTICLE VII – MEMBERSHIP
SECTION 1. : Membership to the AMKA shall be classified as follows
A) Regular
B) Charter
C) Affiliate
SECTION 2. : Regular members are active members from any chapter who are current with their membership fees. Each member has full access to all of the resources of the AMKA. All regular members have full voting rights.
SECTION 3. : REQUIREMENTS FOR REGULAR MEMBERSHIP
- A formal application for membership shall be filed and submitted to the International Head Quarters, coursed thru the proper channels indicating the pertinent information to be recorded and verified by the membership committee.
- A clear citizenship record- no warrants or arrests or criminal background.
- A signed release form from each member, in the case of a minor it shall be signed by a parent or guardian.
A)Each Charter Member Club has access to all the purchasing power of the AMKA and has access to the written, video, and, recorded media available for training.
B)A member or organization is one that subscribes to the basic principles of the AMKA but resides in a different state or country..
C)This membership is one where the individual or club can rely on the AMKA for sponsorship and underwriting their programs and curriculum. They subscribe to the AMKA tenants, rules, and policies and have full membership rights within the guidelines of the AMKA sponsorship.
D)Charter Organizations are permitted to use the Logo of the AMKA in publications, on signage, and in other displayable means. The AMKA patch will be used as the left chest patch on Charter Organization uniforms.
E) Adapting to the AMKA By Laws shall take no more than two years to incorporate to new charter organizations. Existing uniforms and programs can continue until such time as the Charter organization fully accepts the AMKA constitution and By Laws.
SECTION 5. : A formal application shall be filed and submitted to the membership committee for a charter membership. Each club must have a minimum of ten (10) regular members.
SECTION 6. : An Affiliate member or organization can be:
A).Any club that promotes Filipino Martial Arts as its main program, subscribes to the basic principles of the AMKA but wishes to remain autonomous.
B)This membership is one where the individual or club can rely on the AMKA for sponsorship and underwriting their programs and curriculum. There are many forms of Filipino martial arts with their own standards and goals. Being an Affiliate member is just asking for recognition of their attempts to promote their chosen art within the guidelines of the AMKA sponsorship.
C)Affiliates are not allowed to use the AMKA logo for any purpose except for underwriting. The AMKA title may not be used in the name of the Affiliate club title. The AMKA patch can be used as a secondary emblem on uniforms.
D)Affiliate members have no vote in the association.
E)Affiliates are not bound by the uniform code of the AMKA except in the display of patches and of excessive signage on uniforms. The color of the uniform for each affiliate is up to the individual club. Requirements for advancements and for promotion as are up to the individual affiliates.
F)Affiliates may charge their own fees and charges for their own operation but will maintain their associated fees to the AMKA
ARTICLE X-DISCIPLINARY PROCEDURES
A): Should the Senior Assembly receive complaint about the conduct of a member of the AMKA, or have reason to call the conduct of a member into question, a disciplinary subcommittee shall be formed from two members of the Senior Assembly to investigate the complaint.
B): A member of the disciplinary subcommittee shall visit the person under complaint and inform him or her of the nature of the complaint, and arrange a date for disciplinary hearing.
C): The person under complaint shall have the option to be represented, appear in person (with or without a representative), or submit a written explanation to the disciplinary subcommittee.
D): The disciplinary subcommittee shall review all evidence and recommend a course of action. A copy of their report shall be sent to the person under investigation, who has the right to appeal to the Council within twenty eight days.
E): The Council shall decide on an appropriate course of action based on the report of the disciplinary subcommittee and the member's appeal (if any). Written notification of their decision shall be sent to the person under investigation.
F): Penalties available to the Senior Assembly include suspension, censure or expulsion.
G): Any member convicted of a crime of violence must inform an Officer of the Association within twenty one days of the said conviction for consideration by the Council. Failure to do so will result in automatic expulsion from the Association.
ARTICLE VIIII DISSOLUTION
This association may only be dissolved by a majority vote of the Board of Directors. The Board must adopt a resolution recommending that the association be dissolved and direct the Executive Officers to send the State of Michigan and the Securities and Exchange Commission of the Philippines the resolution of dissolution, the articles of Incorporation, the date the resolution went into effect, and an accounting of all properties and monies of the corporation. All asset owned by the AMKA would be donated to another non-profit agency, upon dissolution.
By-Laws
Article VIII- Ranking
SECTION : Underbelt rank can only be awarded a testing board of at least 2 certified instructors.
SECTION : Black Belt rank can only be awarded by a testing board of at least 3 certified instructors of higher rank than that being tested for.
SECTION : Guest Instructors may sit in on any belt test and their input shall be considered but not crucial to the outcome of the test being given. We want others to know what we consider to be important for the members of our organization to know for their advancement and recognition.
SECTION : Students coming from other arts to train in Kuntaw shall retain their awarded rank but considered as junior grade. In order for them to advance in Kuntaw they have to earn their rank in Kuntaw. Example; a green belt in Tae Kwon Do joins the organization, he is considered a first degree green belt and can wear that belt on a proper Kuntaw uniform. He has to compete in green belt divisions in tournaments but cannot advance higher until he has earned green belt in Kuntaw.
SECTION : There is no time limit on testing. Once a student has completed their passbook for a given rank they may test for that rank provided they have met the requirement for the ranks under the belt testing for.

ETIQUETTE
A)In the school, all members will refer to each other as brothers or sisters or by title sir or mam. B)All senior grades of
- 1st and 2nd Degree as as Kuya or Guro
- 3rd, 4th Degree as Manong or Guro,
- 5th Degree and above as either Master or Lakan Guro
- .
D)Members will wear the traditional AMKA uniform, which consists of an all Black short sleeve uniform with red bands on mid arm, a belt appropriate to their grade and may wear a solitary Association badge on the left breast and a club badge on left shoulder. The uniform should be clean and fit properly.
D)In response to Child Protection guidelines, suitable underwear should be worn at all times under gi bottoms for purposes of hygiene, safety and decorum. Females may wear a plain black T-shirt under their uniform.
E)Footwear is not permitted without the prior permission of the senior grade. The only exceptions are outdoor courses, where the Course Director will indicate the appropriate attire.
F)Members must ensure that their hands and feet are clean, and that toe and finger nails are cut sensibly.
G) Jewelry is forbidden during training. If it is not possible to remove particular items then they should be taped to render them harmless to training partners.
AMKA Emblem- established in 1974 this emblem signifies the art and the theory that makes the art what it is.
Club Emblems: Each club or chapter may have their own emblem that shows their identity. These emblems shall be submitted to the Board of directors with an explanation of the emblem for approval and for recording.. These emblems shall not exceed 4 inches in Diameter. These emblems must be worn on the left shoulder only
GRADINGS
All persons taking a grading examination must hold a current membership issued by the AMKA.
It is the student's obligation to ensure that their membership is current prior to the grading as no memberships will be issued on the day of the grading examination.
All students wishing to test for rank must complete their rank PASSBOOK for tested rank and turn this book in for testing scheduling.

Testing/Certificate Fees are $30 ( this covers Belt and Certificate costs)No refunds if test is failed.
Grading examinations will only be held individually grading by Official Kuntaw Examiners.
Any student unable to grade due to illness or injury may grade with a panel of (at least) three examiners within two weeks of the normal grading examination with the approval of the Chief Examiner.
Members who are not able to do a complete grading in one session may be graded at their own club in "sections" prior to the grading, but will have to attend the grading to be formally passed and receive their certificate. However, students should be encouraged to take a full grading examination at a group grading if it is feasible to do so.
Gradings are held approximately every three months.
Members are required to take formal grading examinations up to and including Lakan Guro
Students will be graded by a panel of three Official Examiners. If more than three Official Examiners sit on a panel, then there must be an odd number of Official Examiners to avoid tied decisions in marginal cases.
All members awarded a Guro grade must fulfil the following criteria .
Instruct classes on a regular basis at least 2 times a month
Attend and compete in AMKA sanctioned scheduled tournaments
Maintain an active email address...
All members awarded a senior grade must also fulfil the following attendance requirements at the monthly Senior Grade training sessions ...
- Must attend at least five sessions per year prior to grading;
- Lakan Guro and above do not take formal gradings, but attendance will be considered when the Senior Awards Panel make their decisions.
The requirements for Official Examiner status are ...
- The member has been a Guro grade for a minimum of one year.
- The member has sat on at least two grading panels as an observer.
- The Chief Instructor has been satisfied as to the member's competence as an Official Examiner.
Higher grade awards are not automatic promotions, the merits and contributions of each Guro being considered individually by the Senior Awards Panel. The Senior Awards Panel will consist of the three most senior grades in the Association, and will (usually) consist of the Chief Instructor, Senior instructor and Chief Examiner. The Senior Awards Panel will meet at least once a year to consider possible candidates for promotion.
In all matters relating to the conduct of grading examinations the Chief Examiner's decision is final.
BY-LAWS
14: OTHER
No person under the age of eighteen shall open or run a Kuntaw club.
All club instructors and assistant instructors should have Instructors Indemnity Insurance and an Enhanced Criminal Records Bureau disclosure.
All Guro grades are expected to maintain and improve their own standards.
All grades should be aware that they are representatives of American Maharlika Kuntaw Association when visiting other schools, attending competitions or taking part in some public activity, and should act accordingly
